The good news is simple: while e-Residency makes managing an Estonian company remarkably convenient, your ability to own and operate an Estonian company does not depend on having an active e-Residency card.
e-Residency is an excellent and convenient digital solution that enables non-residents to access Estonian e-services and digitally sign documents. But e-Residency is not a legal requirement for establishing, owning or continuing to operate an Estonian private limited company (OÜ).
An Estonian company remains an Estonian company regardless of whether its foreign shareholder or management board member holds a valid e-Residency card. There is no separate legal category of an “e-Residency company” – it is simply an Estonian company. Estonia’s own e-Residency guidance makes this distinction clear.
No e-Residency card? InCorpora can help.
If your e-Residency card expires, its certificates are revoked, or you are unable or do not wish to renew your e-Residency, there is no need to close your Estonian company for this reason.
As a licensed Estonian Corporate Service Provider, InCorpora can assist non-resident founders, foreign shareholders and management board members with the necessary corporate procedures without an e-Residency card, including acting on the basis of a properly executed Power of Attorney where applicable.
Estonian law and practice provide alternative procedures, including notarial procedures and representation under a Power of Attorney, for company owners and non-resident founders who cannot use Estonia’s digital identification system. Estonia’s official e-Residency materials themselves recognise incorporation through an Estonian notary as the alternative where the founders do not have the required Estonian digital ID.
